Sponsorship Tier Details

  1. General
    1. The Organiser of SQLGLA (“Event“) is Craig Porteous & the Glasgow SQL User Group team (“SQLGlasgow“).
    2. References to “us”, “we” and “our” shall refer to the SQLGLA Team (“SQLGLA“) and references to “you” and “your” shall refer to the Sponsor (“Sponsor“). 
    3. These terms and conditions and the Sponsor Contract document (together the “Agreement”) set out the terms on which you (i.e the Sponsor as defined on the Contract) agree to sponsor the Event. Please read the Agreement carefully and make sure you understand it before signing. You understand that by signing the Contract, you agree to be bound by the terms of the Agreement.
    4. Any items not covered by these Terms & conditions are subject to the decision of SQLGLA. Any questions should be raised in good time
    5. This agreement is available in PDF format and will only be varied or amended by written agreement of both the Sponsor and SQLGLA.
  2. Rights
    1. We Grant you:
      1. the Sponsorship rights as defined in the Agreement and the Sponsorship Pack; and
      2. a non-transferable, non-exclusive, royalty-free licence to use the Event logos (“Event Marks“) to promote your sponsorship of the Event, during the Term (as defined at clause 6.1) and in accordance with the terms and conditions of this Agreement.
    2. You grant to SQLGLA:
      1. a worldwide, non-exclusive, royalty-free, sub-licensable licence to use your logos and trade marks (the “Sponsor Marks“) provided to SQLGLA during the Term (as defined at clause 6.1) to promote and exploit the Event
        1. for a period of twelve months following the Event in any report produced about the Event or promotion of future Events
        2. and used in accordance with our obligations (as defined in clause 4.2)
    3. In the event that you change the Sponsor Marks at any time during the Term, you agree that we shall not be obliged to make any consequential changes to materials that include the Sponsor Marks produced by SQLGLA or on our behalf for or in connection with the Event (including, but not limited to, reprinting promotional literature or publicity materials) unless you agree in writing in advance to meet the costs and expenses incurred by SQLGLA arising from such change.
    4. If for any reason, we are unable to deliver any of the Sponsorship Rights, we will inform you as soon as reasonably practicable. We may substitute alternative benefits in respect of the same Event to an equivalent value of the relevant Sponsorship Rights without any liability to you.
  3. Your Obligations
    1. You undertake to support the Event through appropriate marketing and promotional channels and to collaborate with SQLGLA on any appropriate joint marketing or promotional projects relating to the Event.
    2. You undertake to ensure your personnel exercise the Sponsor Benefits in accordance with the terms of this Agreement.
    3. For the avoidance of doubt it shall be your responsibility to take out and maintain appropriate insurance in relation to any risks under or in relation to this Agreement or your participation in the Event.
  4. Our Obligations
    1. We shall at all times during this Agreement effect and maintain an appropriate level of insurance cover in relation to the Event. We shall, if so requested by the you, note the interest of the Sponsor on any such policy and shall produce upon reasonable request documentary evidence showing the required insurance cover and proof of payment for the premiums for such insurance. Sponsors are strongly recommended to obtain their own event insurance.
    2. We shall not knowingly misuse, permit misuse or bring into disrepute the Sponsor Marks or Sponsor name.
  5. Event Presence (Platinum & Gold Tier Sponsors Only)
    1. The Event is open to Sponsors whose products and services are directly related to the Microsoft Data Platform and related technologies. This can include employers and recruiters of such professionals
    2. The Event start and end times will be confirmed 8 weeks prior to the Event as defined in the Timeline section under the Sponsorship Tier details. All sponsor banners, stands or booths (“Exhibits“) are required to be intact and staffed during these opening hours. Booth equipment will consist of the following: A table, electrical wiring for computer/laptop/screen (GB socket type), Wi-Fi connection.
    3. Sponsor personnel sporting company branded apparel will be limited to the number of persons detailed in the contract. Efforts to circumvent this restriction may result in persons being removed from the event.
    4. Sponsors are prohibited from assigning or subletting a booth or any part of the space allotted to them. Nor shall they exhibit or permit to be exhibited in their space any merchandise or advertising materials which are not part of their regular products, or which are not compatible with the character of the Event, without a written request and approval from SQLGLA.
    5. We reserve the right to remove leaflets, flyers or merchandise which is deemed inappropriate or incompatible with the objectives of the Event.
    6. Special visual and audio effects: Sponsors are welcome to show (live) demos or presentations of their products and/or services; please note that audio/visual and other sound or attention-getting devices/effects will be permitted only in those locations and in such intensity as, in the opinion of SQLGLA, they do not interfere with the activities of other exhibitors. Operational equipment demonstrated may not create noise levels objectionable to neighbouring exhibitors.
    7. All marketing activities of each sponsor must be restricted to the sponsor’s allotted exhibit space. Demonstrations at exhibits must be designed to take place and keep the audience within the existing exhibit space to allow free access in aisles. Samples, catalogues, pamphlets, publications, etc. may be distributed by exhibitors only from their own booth space. We reserves the right to exclude any giveaways. Prizes, awards, drawing rates, lotteries or contests may be permitted. Requests for approval of such activities must be submitted to SQLGLA 2 weeks prior to the exhibition date.
  6. Event Term
    1. This Agreement shall take effect on the date that the last party signs the Contract and shall continue until the completion of the Event (the “Term”), unless terminated early in accordance with its terms.
  7. Cancellation, Postponement & Force Majeure
    1. We shall not be deemed to be in breach of this Agreement or otherwise liable to you for any failure or delay in performing our obligations under this Agreement as a result of an event or series of connected events outside of our reasonable control and/or the reasonable control of our sub-contractors and/or suppliers as applicable (including, without limitation, strikes or other industrial disputes, failure of a utility service or transport network, act of God, war, riot, civil commotion, terrorism, malicious damage, the enactment of any Act of Parliament or the act of any other legally constituted authority, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood or storm).
    2. It may be necessary for SQLGLA to alter the advertised content, timing, date and/or location of the Event. We reserve the right to do this at any time during the Term and without liability to you, provided that the Event, as altered, is substantially similar to Event as originally advertised. We will provide you with notice of any alterations as soon as is reasonably practicable.
    3. We reserve the right to cancel the Event at any time during the Term and will provide you with notice of the same as soon as is reasonably practicable.
    4. In the event that we cancel the Event (pursuant to clause 8.3) or materially alter the advertised content, timing, date and/or location of the Event, you shall be entitled to terminate this Agreement with immediate effect and obtain a refund (calculated in good faith) of an amount that reflects the total sums paid by you at the date of cancellation minus the value of any Sponsorship Rights received by you prior to the date of cancellation. Any such refund shall be paid by SQLGLA within 30 days of receipt of confirmation from you of your wish to terminate the Agreement.
    5. In the event that you terminate this Agreement outwith any breach of our obligations under this agreement , the following scale of cancellation charges shall apply, calculated from the date that a Notice of Cancellation is received by SQLGLA to the Event date (as defined on the Agreement):
      • More than six months prior to Event Date = 50% of Sponsorship Fee
      • Less than six months prior to Event Date = 100% of Sponsorship Fee
    6. Upon expiry or termination of this Agreement, the parties agree that:
      1. our obligations to provide any further Sponsorship Rights shall cease;
      2. any licences granted pursuant to this Agreement shall immediately cease; and
      3. you shall destroy any Sponsor Materials and remove the Event Marks from any other materials in your possession.
